AGREEMENT TO OUR LEGAL TERMS

We are Omni Health Services ("Company," "we," "us," or "our"), a company registered in Pennsylvania, United States at 160 Bethlehem Pike, Suite 120, Colmar, PA 18915. We operate the website omnihealthservices.in (the "Site") and any other related products and services that refer or link to these legal terms (the "OMNI") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Omni Health Services, concerning your access to and use of the Services. By accessing the Services, you agree to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated by reference. We reserve the right to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms. It is your responsibility to review these Legal Terms periodically. Your continued use of the Services after the date such revised Legal Terms are posted means you accept the changes.

The Services are intended for users who are at least 18years old. All users who are minors must have the permission of, and be directly supervised by, their parent or guardian to use the Services.

1. Scope of Agreement

These Terms apply to your use of the Website, App, and all mental health services provided by Omni Health Services, including:

• Online therapy sessions (Out Patient Services)

• Medication management (if applicable- Through Out Patient Services )

   Secure messaging with your therapist

• Access to online mental health resources

2. Services

We offer various mental health services to support your well-being, including but not limited to:

• Individual therapy (Out Patient Clinic)

• Group therapy (if applicable in Outpatient clinic or in other Institutional set up)

• Family therapy (Out Patient Clinic)

• Medication management consultations (if applicable)

• Intensive Behavioural Health Services at Community Level ( IBHS)

• Self-help resources and educational materials

3. User Accounts

3.1 Account Creation To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Professional Qualifications Our therapists and other mental health professionals are qualified, experienced , and licensed according to applicable state regulations.

3.3 Telehealth Disclaimer Our services are also delivered via telehealth, involving electronic communication. You acknowledge that telehealth services have limitations and may not suit in all conditions. In-person care may be necessary for certain situations.

4. User Representations

By using the Services, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete;

• Registration and sharing your personalise information is your voluntarily and self-decision.

• You will maintain the accuracy of such information and promptly update such registration information as     necessary;

• You have the legal capacity and you agree to comply with these Legal Terms;

• You are not a minor in the jurisdiction in which you reside, or if a minor, disoriented then you have                 received parental / legal guardian’s written permission to use the Services;

• You will not access the Services through automated or non-human means, whether through a bot, script,     or otherwise;

• You will not use the Services for any illegal or unauthorized purpose;

• Your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to conduct thorough internal clinical assessment and competitive authority will take decision on status of continuing services in future.

5. User Conduct

You agree to use the Services in a respectful and responsible manner. You will not:

•Use the Services for any illegal or unauthorized purpose.

•Disrupt or interfere with the Services or any servers or networks connected to the Services.

•Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, or racially or ethnically offensive.

•Violate the intellectual property rights of others or disrespect your assigned therapist or Psychiatrist.

•Impersonate any person or entity.

6. User Content

If you are collaborator and upload or submit any content to the Services ("User Content"), you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, and distribute such User Content in connection with the Services. You retain all ownership rights to your User Content but agree that we may use it as described.

7. Appointment Scheduling and Cancellations

Appointments can be scheduled through the App, Website, or by contacting our office. We require at least 24 hours' notice for appointment cancellations to avoid a cancellation fee.

8. Fees and Payment

You will be informed of the fees associated with each service before scheduling an appointment. Payment is due at the time of service. We may offer payment plans in special circumstances.

9. Confidentiality

We are committed to protecting the confidentiality of your mental health information. We comply with all applicable laws and regulations regarding privacy, including the Health Insurance Portability and Accountability Act (HIPAA), and The Joint Commission ( USA Accreditation)

10. Emergency Situations

If you are experiencing a mental health emergency, please call 112 or proceed to your nearest emergency room. Our services are not intended to replace emergency care. However, you would have to sign crisis intervention plan as standard treatment process at the time of admission.

11. Disclaimers and Limitations

11.1 Disclaimer of Cure Our services are not intended to cure mental health conditions but to provide support and treatment. We cannot guarantee specific results.

11.2 Progress Disclaimer The progress of therapy varies depending on individual circumstances, and client’s response in his/her treatment. We cannot guarantee the outcome of therapy.

11.3 Limitation of Liability We are not liable for any damages arising from your use of the Services including but not limited to damages for emotional distress, lost wages, or personal injury if suggested processess not being followed by other party.

12. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of the State of Maharashtra, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms will be first and foremost resolved mutually by internal competent authority from both side if not then by The arbitrator in Mumbai, Maharashtra.

13. Entire Agreement

These Terms constitute the entire agreement between you and us regarding your use of the Services.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

15. Termination

We may terminate your access to the Services or Refer your case to other service provider after the close clinical case review by the competent authority. You may also have right to terminate your services or ask for an transfer/referral of other therapist, clinic or service provider at any time.

16. Amendments to the Terms

We may amend these Terms at any time by posting the amended terms on the Website or App. Your continued use of the Services following the posting of amended Terms will be considered your acceptance of the amendments.

17. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available for you as individualised care. The Services may not be used in connection with any commercial endeavours except those that are specifically endorsed or approved by us.

18. User Generated Contributions

If you submit or post any content or personalised information with respect to your services, we committed to protect your confidentiality and personalized data.

19. Contribution License for collaborating with Partners

By posting your Contributions to any part of the Services or making Contributions accessible through the Services by linking your account through the Services to any of your social networking accounts, you automatically grant and represent that you have the right to grant to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including your image and voice) for any purpose, commercial, advertising, or otherwise.

20. Guidelines for Reviews

We may accept, reject, or remove reviews at our sole discretion. We have no obligation to screen reviews or to delete reviews even if anyone considers reviews objectionable or inaccurate. Reviews are not endorsed by us and do not necessarily represent our opinions or the views of our affiliates or partners.

21. Social Media

You may link your account with online accounts you have as third-party service providers (each such account, a "Third-Party Account") by either providing your Third-Party Account login information through the Services or allowing us to access your Third-Party Account as permitted under the applicable terms and conditions that govern your use of each Third-Party Account.

22. Services Management

We reserve the right but not the obligation to:

1. Monitor the Services for violations of these Legal Terms;

2. Take appropriate legal action against anyone who violates the law or these Legal Terms;

3. Refuse, restrict access to, limit the availability of, or disable any of your participation, Contributions or      any portion thereof;

4. Remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems;

5. Otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

24. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any valid reason at our sole discretion. However, we have no obligation to update any information on our Services. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. Our efforts will continue to strengthen the clinical operational protocols for the better service delivery.

25. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, adding new services, pricing, availability, and various other clinical information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

26. Limitations of Liability

In no event will we or our directors, employees, or therapeutic staff not be liable to you for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising if you unlikely follow the treatment protocol, recommendations and medication management. Even if we have been advised of the possibility of such damages as a part of treatment processes.

27. Indemnification

As a collaborator you agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected via the Services.

28. User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

29. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing.

30. SMS Text Messaging

You consent to receive SMS text messages from us, which may include promotional content. Message and data rates may apply. You may opt-out of receiving SMS text messages from us at any time.

31. Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision.
